By engaging SellYourMP3s.com for the service of developing an e-goods online store (the "end product") for you (the "end user") to sell MP3 downloads of your music, it is understood you have read, agreed, and accepted the following terms and conditions:

1. Authorization. The "end user" is engaging SellYourMP3s.com, as an independent contractor for the specific project of developing an e-goods online store (the "end product") to sell MP3 downloads of the "end users" music in MP3 format. The "end user" understands that the MP3 format is universal and does not contain a digital signature. If the "end user" chooses NOT to install the "end product" to their webserver themselves and engages SellYourMP3s.com to install the "end product" on the "end users" web space on a web hosting service's computer, then the "end user" hereby authorizes SellYourMP3s.com to access their web server account, and authorizes the web hosting service to provide SellYourMP3s.com with "write permission" for the "end users" webpage directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project.

2. Assignment of Project. SellYourMP3s.com reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion.

3. Copyrights and Trademarks. The "end user" represents to SellYourMP3s.com and unconditionally guarantees that any elements of music, text, graphics, photos, designs, trademarks, or other artwork furnished to SellYourMP3s.com for inclusion in "the end product" are owned by the "end user", or that the "end user" has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend SellYourMP3s.com and its subcontractors from any claim or suit arising from the use of such elements furnished by the "end user".

4. Laws Affecting Electronic Commerce. From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The "end user" agrees that the "end user" is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend SellYourMP3s.com and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the "end users" exercise of Internet electronic commerce.

5. Limited Warranty. As it's only warrant under this agreement, SellYourMP3s.com warrants the "end product" to work as represented on our website in any descriptive text or documentation which specifically defines the functions and features of the "end product".

EXCEPT AS EXPRESSLY WARRANTED IN THIS AGREEMENT, THE "END PRODUCT" IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE "END PRODUCT" IS WITH YOU. SellYourMP3s.com DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE "END PRODUCT" WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE "END PRODUCT" WILL BE UNINTERRUPTED OR ERROR FREE OR THAT "END PRODUCT" DEFECTS WILL BE CORRECTED.

6. Limitation of Liability. SellYourMP3s.com's entire liability and your sole remedy under this agreement is, at SellYourMP3s.com's discretional option, either (a) return of payment; or (b) replacement or repair of "end product" under this warranty.

IN NO EVENT WILL SellYourMP3s.com OR ITS VENDORS, AGENTS OR AFFILIATES BE LIABLE FOR ANY DIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, INFORMATION, OR USE) EVEN IF SellYourMP3s.com HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Under no circumstances shall SellYourMP3s.com be liable for any damages that result from the use or inability to use the "end product" or related documentation, even if SellYourMP3s.com has been advised of the possibility of such damages. In no event shall the liability of SellYourMP3s.com exceed the fee paid for the service, if applicable.

7. PayPal Restriction; Though this "end product" is not officially endorsed by PayPal, it has been designed exclusively for their IPN subscription system. As such, you MUST have a VERIFIED PayPal Premier or Business account in order to use this "end product". As the "end product" will not function without this, it is pointless for anyone attempting to use this "end product" if they do not have a VERIFIED account! Not having a PayPal account that matches the above criteria means that the "end product" will not function properly.
